These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, and services offered by Priyanshu, a sole proprietor based in Gurugram, Haryana, India, operating "OSM Apps" ("OSM Apps", "we", "us", or "our"), including the OSM Gym product (the "Services"). By using the Services, you agree to be bound by these Terms.
1. Eligibility and accounts
You must be at least 18 and capable of forming a binding contract to use the Services. You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You are responsible for all activity under your account.
2. The Services
Our Services let businesses such as gyms manage their operations, including their own members or customers. You decide what information about your members to collect and enter, and you are responsible for it.
3. Member consent and minors
You are responsible for complying with applicable data-protection law for the data you enter, including obtaining any consents required from your members. Where an OSM application lets you capture or store a photo of an individual, this includes obtaining that individual's consent before doing so. Where you add a member who is under 18, you must obtain verifiable consent from their parent or legal guardian before doing so, as required under the Digital Personal Data Protection Act, 2023.
4. Subscription and fees
We do not currently offer paid subscription plans. If and when we introduce paid plans, fees, billing cycles, and applicable taxes (including GST, if applicable) will be disclosed at the time of purchase. Unless stated otherwise or required by law, fees are non-refundable once a plan or billing period is active.
5. Acceptable use
You agree not to: use the Services for any unlawful purpose or in violation of applicable law; infringe the rights of others; attempt to gain unauthorised access to the Services or related systems; upload viruses, malware, or harmful code; or resell, sublicense, or commercially exploit the Services without our written consent.
6. Your content and data
You retain all rights in the data and content you submit ("Customer Data"). You grant us a limited licence to host, process, and display Customer Data solely as needed to provide the Services. You are responsible for ensuring you have all necessary rights and consents to submit Customer Data.
7. Intellectual property
The Services, including all software, designs, trademarks, and content, are owned by us or our licensors and protected by applicable intellectual property law. No rights are granted other than those expressly set out in these Terms.
8. Third-party services
The Services may integrate with or link to third-party services, such as hosting and infrastructure providers. We are not responsible for the availability, accuracy, or content of any third-party service.
9. Your responsibilities
Getting the most out of the Services is a shared effort. In particular:
- You are responsible for verifying the accuracy of data displayed in the Services before relying on it for business decisions. This includes, but is not limited to, financial reports, tax summaries (such as GST reports), collection records, attendance records, customer or member records, and any data you submit to tax authorities or other regulators.
- You are responsible for maintaining your own records and backups of critical business data.
- You are responsible for obtaining any necessary consents from third parties (for example, your customers or members) before entering their data into the Services or capturing their photo using the Services.
- You are responsible for the actions of any user you authorise to access the Services on your behalf.
10. Disclaimer of warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, we disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
We do not warrant that the Services will be uninterrupted or error-free, or that defects will be corrected within any specific timeframe. You acknowledge that no software is entirely free from errors, and you use the Services at your own risk.
11. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall OSM Apps, its officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of revenue, loss of business opportunity, business interruption, loss of data, regulatory fines, or the cost of substitute goods or services — arising from or related to your use of the Services, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total cumulative liability arising from or related to the Services shall not exceed the total fees you paid us during the twelve (12) months immediately preceding the event giving rise to the claim, or INR 10,000 (ten thousand rupees) if no fees were paid — whichever is greater.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, fraud, or personal injury.
12. Bug reporting and service updates
We strive to provide a reliable Service, and we acknowledge that no software is entirely free from defects. We ask you to work with us to keep the Services accurate and secure:
- Please promptly report any suspected bug, defect, data discrepancy, or security concern to us at support.osmapps@gmail.com.
- We will investigate reported issues in good faith and work to resolve them within commercially reasonable timeframes based on severity. Issues that affect data accuracy or security will be prioritised.
- We may release updates, fixes, or feature changes to the Services from time to time without prior notice.
13. Indemnity
You agree to indemnify and hold OSM Apps harmless from claims, losses, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or the data you enter.
14. Termination
We may suspend or terminate your access for any breach of these Terms or for security or legal reasons. You may stop using the Services at any time.
15. Governing law and disputes
These Terms are governed by the laws of India. The courts of Gurugram, Haryana shall have exclusive jurisdiction, subject to any non-waivable rights you may have under applicable law.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Services or by email. Continued use after changes take effect constitutes acceptance.
